These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "Customer", or "you") and LiyyouVac Industrial Manufacturing Co., Ltd. ("LiyyouVac", "Company", "we", or "us") regarding your use of our industrial vacuum systems, OEM/ODM services, and related professional solutions.
By engaging our services, placing orders, or accessing our manufacturing capabilities, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
Our comprehensive service portfolio encompasses complete product lifecycle management, from initial concept design through large-scale manufacturing, utilizing premium materials including ABS, PC, PP plastics, copper coil motors, HEPA filtration systems, lithium-ion batteries, and aerospace-grade aluminum alloys.
All products undergo rigorous testing protocols including suction performance verification, noise level assessment, and filtration efficiency validation. Our quality assurance program follows ISO 9001 standards with comprehensive pre-shipment testing including durability, drop testing, and thermal performance evaluation.
Professional partnerships require annual procurement commitments exceeding $500,000 USD. Custom OEM/ODM projects have specific minimum order quantities based on product complexity and tooling requirements.
Standard production cycles range from 15-45 days depending on order volume and customization requirements. Custom tooling and mold development may require additional 30-60 days lead time.
Standard payment terms: 30% deposit upon order confirmation, 70% balance before shipment. Letter of Credit and extended payment terms available for qualified long-term partners.
All proprietary designs, technical specifications, manufacturing processes, and trade secrets remain the exclusive intellectual property of their respective owners. LiyyouVac maintains strict confidentiality protocols for all client projects and proprietary information.
Custom designs developed collaboratively become joint intellectual property as specified in individual project agreements. Non-disclosure agreements are standard for all OEM/ODM partnerships.
LiyyouVac's total liability for any claims arising from these Terms shall not exceed the total amount paid by the Client for the specific products or services giving rise to such claims. This limitation applies to all causes of action, whether based on contract, tort, negligence, or any other legal theory.
In no event shall LiyyouVac be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the China International Economic and Trade Arbitration Commission (CIETAC) rules.
Prior to formal arbitration, parties agree to engage in good-faith mediation for a period of 60 days to seek amicable resolution of any disputes.
